Non-Disclosure Agreement

This Mutual Non-Disclosure Agreement (“Agreement”) is entered into as of the date of electronic signature below, by and between CS Big Sky Inc., doing business as Minty Dental (“Company”), and the undersigned individual (“Recipient”).

1. Purpose

The Recipient wishes to access confidential information regarding dental practice listings (“Confidential Information”) for the purpose of evaluating potential acquisition opportunities.

2. Definition of Confidential Information

“Confidential Information” includes, but is not limited to: financial statements, tax returns, patient demographics, revenue data, expense reports, lease agreements, equipment inventories, staff information, and any other non-public information related to listed dental practices.

3. Obligations

The Recipient agrees to:

  1. Maintain the confidentiality of all Confidential Information;
  2. Not disclose Confidential Information to any third party without prior written consent;
  3. Use Confidential Information solely for evaluating acquisition opportunities;
  4. Return or destroy all Confidential Information upon request or termination of discussions.

4. Exceptions

This Agreement does not apply to information that:

  1. Is or becomes publicly available through no fault of the Recipient;
  2. Was lawfully in Recipient's possession prior to disclosure;
  3. Is independently developed by Recipient without use of Confidential Information.

5. Term

This Agreement shall remain in effect for a period of three (3) years from the date of signature.

6. Remedies

The Recipient acknowledges that any breach of this Agreement may cause irreparable harm and agrees that the Company shall be entitled to seek injunctive relief in addition to any other legal remedies.

7. Governing Law

This Agreement shall be governed by the laws of the State of Delaware.
