1. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use our platform. By registering for an account, you represent that you meet these requirements and that the information you provide is accurate and complete.

2. Account Registration

To access certain features of our platform, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Platform Description

Minty Dental operates an online marketplace that connects dental practice buyers with dental practice sellers and their brokers. We provide tools for searching, evaluating, and expressing interest in dental practice acquisitions. We are not a party to any transaction between buyers and sellers, and we do not guarantee the completion of any transaction.

4. Confidential Information & NDA

Certain listing information on our platform is confidential and requires you to sign a Non-Disclosure Agreement before access is granted. By signing the NDA, you agree to maintain the confidentiality of all protected information in accordance with its terms. Violation of the NDA may result in account termination and legal action.

5. Acceptable Use

You agree not to use our platform for any purpose that is unlawful or prohibited by these Terms. You agree not to:

• Provide false, misleading, or inaccurate information
• Use the platform to harass, abuse, or harm others
• Attempt to gain unauthorized access to other users' accounts or our systems
• Scrape, crawl, or use automated means to access the platform without our written consent
• Reproduce, distribute, or publicly display any content from the platform without authorization
• Use confidential listing information for any purpose other than evaluating a potential acquisition

6. Intellectual Property

All content, features, and functionality of the platform, including but not limited to text, graphics, logos, and software, are the property of Minty Dental or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any content on the platform without our prior written consent.

7. User Content

You may submit content to the platform, including buyer profiles, preferences, and communications. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating the platform. You represent that you have the right to submit any content you provide and that it does not violate any third party's rights.

8. Disclaimer of Warranties

Our platform is provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the platform, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or secure. We do not verify or guarantee the accuracy of any listing information provided by sellers or brokers.

9. Limitation of Liability

To the fullest extent permitted by law, Minty Dental and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of or inability to use the platform, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for all claims arising from or related to these Terms or the platform shall not exceed the amount you paid to us, if any, in the twelve (12) months prior to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Minty Dental and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the platform, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We reserve the right to suspend or terminate your account and access to the platform at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users or third parties, or is otherwise objectionable. Upon termination, your right to use the platform ceases immediately. Any obligations that by their nature should survive termination (including confidentiality, indemnification, and limitation of liability) shall survive.

12. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms or the platform shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

14. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on this page with a revised effective date. Your continued use of the platform after any changes constitutes your acceptance of the revised Terms.
